SECTIONS
NAME
1 The name of the Association is the National Association
for Primary Education.
CONSTITUTION AND OBJECTS
2 The object of the Association is to advance education by
promoting the development of Primary Education.
ACTIVITIES
3 The Association may promote its objects by:
3.1 bringing together groups, organisations and individuals
who are engaged in supporting, developing, researching or
working on the education of children from birth to 13; and
3.2 facilitating the work of those mentioned at 3.1 by
providing for the collection and dissemination of information
on their activities; and
3.3 arranging on a regular basis, a national conference to
bring together as many as possible of the varied interests
involved; and
3.4 holding seminars or conferences at national, regional
or special interest level using, where possible, existing
organisations and groups; and
3.5 such other means as the Association may from time to
time determine and as may be consistent with the charitable
objects of the Association.

4 The Association shall not pursue any of the following
objects:
4.1 regulation of the relations between employers and
employees or between employees and employees or between
employers and employers; or
4.2 imposing restrictive conditions on the conduct of any
trade, business or profession; or
4.3 the provision of pecuniary benefits for
members.
MEMBERSHIP
Composition of the
Association
5 The Association shall consist of Individual Members,
Honorary Members and School Community members.
6 Any person who at the date of his or her joining is
concerned with the education of children from birth to
thirteen shall be eligible for acceptance as an individual,
School Community or Honorary Member.
Individual Members
7 Individual Members shall lodge with National or Local
Secretary a written application together with the appropriate
subscription.
Honorary Members
8 Honorary Members shall be elected only by the National
Association at a business meeting on the nomination of
Council.
School Community members
9 A School Community shall consist of staff (teaching and
non-teaching), parents, governors and friends of the school. A
named representative of the School Community can make a
written application on behalf of the school community together
with the appropriate subscription
Affiliation
10 Any body of persons (whether corporate or unincorporate
and whether existing under the laws of the United Kingdom or
otherwise) which has objects which include the objects of this
Association and are approved by Council shall be eligible for
affiliation upon payment of an appropriate subscription. Each
Affiliated Association shall have one representative invited
to attend the Annual General Meeting and shall have one
vote.

Resignation
11 Any member may resign from the Association by giving to
the appropriate Secretary notice of his or her or its
intention to resign at least one calendar month before his or
her or its subscription (if any) is due.
12 Failing such notification a Member shall be liable to
pay any subscription which he or she or it would have been
liable to pay in the twelve calendar months after
resignation.
13 Resignation in accordance with this rule shall not cause
the resigning Member to be ineligible for future
membership
Register of Members
14 Members shall keep the appropriate Secretary informed of
any changes in their names or addresses and the Association
shall not be responsible for the non-receipt of any
publication through failure to notify a change of name or
address.
15 The National Secretary shall keep an up-to-date list of
the members and address of each of them and such list may be
inspected by members on reasonable notice being given to the
National Secretary.
Rights of Members
16 Individual members shall be:
16.1 eligible for election to any office of the
Association
16.2 eligible for election to Council of the
Association
16.3 entitled to vote at any General meeting of the
Association
17 Affiliated Associations shall nominate a representative
who shall be granted the rights of Individual members except
they shall not be eligible for election to Council
18 All members shall receive notification of the activities
of the National Association. Notification of the activities of
Local Associations shall be the responsibility of the Local
Associations.
19 Each member whose subscription is not in arrears shall
be entitled, free of charge, to one copy of these Rules and of
Trust Deed to which they are annexed, on application to the
National Secretary.
20 Members shall receive such other privileges as are from
time to time agreed by Council or the Annual General
Meeting. go
back SUBSCRIPTION
21 Every member and Affiliated Association other than an
Honorary Member shall pay an annual subscription of an amount
to be determined by Council.
22 The rate of subscription of Honorary Members shall be
NIL
23 Subscriptions shall be paid annually and in advance.
24 No member or Affiliated Association shall be entitled to
receive any notice or exercise any of the privileges of
membership unless and until that Member’s subscription (if
payable) has been paid in full save that notices may be sent
to Members whose subscriptions are up to two months in
arrears.
25 The General Secretary shall communicate with any Member
whose subscription is in arrears.
26 Any member who has failed to pay a subscription for
twelve calendar months from its due date shall automatically
cease to be a Member.

HONORARY OFFICERS AND AUDITORS
Officers
27 The Honorary officers of the Association shall be the
Chairperson, the Vice Chairperson (who will also be the chair
elect), the Honorary Treasurer, the Honorary Secretary and (as
and when Council shall determine that there shall be an
Honorary Editor or other Honorary Officers). References in the
Rules to the "National Secretary" shall mean the Honorary
Secretary until such time as a General Secretary shall be
appointed in which event such references shall, unless
otherwise directed by Council, mean the Honorary Secretary or
General Secretary.
28 The Association shall also have an Auditor or Auditors
whose fee shall be fixed by the Council.
Election of Auditors and
Officers
29 The Chairperson, Honorary Treasurer, and Honorary
Secretary together with any other Officers from time to time
agreed shall be eligible for reselection at the end of their
term of office save that the Chairperson shall not be eligible
to stand for a second successive term of office.
30 The chairperson shall not be eligible to stand for
office of chair or vice-chair until two years have elapsed
since the end of his/her term of office.
31 The vice-chair shall be elected for a period of two
years, at the end of which period s/he will succeed to the
chairperson's office without election and will serve for a
period of two years.
32 In the event of the vice-chair or chair resigning whilst
in office the Honorary Secretary shall organise an immediate
election, in the usual way, seeking nominations from members
for election to fill the vacancies so caused, save that a
previously elected vice-chair, who has not resigned, shall
immediately take up office of chair on the resignation from
that post, and the Honorary Secretary then shall organise an
election for the resulting vacancy of vice-chair
immediately.
33 The Honorary Treasurer, Honorary Secretary shall be
elected for a period of three years by the members of the
Association by postal vote and such officers shall take office
and assume their duties immediately after the Annual General
Meeting at which their election is announced until immediately
after the third Annual General Meeting following.
34 The Vice-Chair and any other Officers from time to time
agreed for the following year shall be appointed by Council
from its elected members at the Council meeting held on the
occasion of the Annual General Meeting and shall take office
and assume his or her duties immediately after that Annual
General Meeting until immediately after the next Annual
General Meeting.
35 The Honorary Editor (if any) shall be appointed or
co-opted by Council and be a full member of Council.
36 The Association shall also have an Auditor(s)
36.1 The Auditor or Auditors shall be appointed for the
following year at the Annual General Meeting and shall take
office and assume their duties immediately after the Annual
General Meeting during which they are appointed until
immediately after the next Annual General Meeting.
37 In the event of the honorary offices or the office of
Auditor falling vacant during the year of office, Council
shall appoint a person to fill the vacancy until the next
Annual General Meeting.
Duties of Chairperson
38 The Chairperson or failing him (or her) the
Vice-chairperson or failing him (or her) a person chosen from
the persons entitled to attend and vote at the relevant
meeting shall take the chair at meetings of the Association
and Council. go

COUNCIL
Composition
39 Council shall consist of Chairperson, Vice chair,
Honorary Treasurer, Honorary Secretary, Honorary Editor (if
any), Regional Representatives or co-optees, four other
component Co-ordinators and one immediate past chairperson.
Council shall have the power to co-opt additional members to
Council should Council deem such co-option necessary or
appropriate to bring the number up to no more than
eighteen.
40 At each Annual General Meeting the Council shall present
a Report as to the range of interests currently represented on
Council by elected members, and co-opted members, in order
that the Meeting may consider the composition of Council in
such a way as to represent the interests of members as a
whole. Co-opted members shall be full voting members of the
Council.
Election of Elected Members from
Regions
41 The National membership shall be allocated to regions so
that each member shall be a member of a region.
42 Council shall propose to the Annual General Meeting the
number and boundaries of the Regions as from time to time
appropriate.
43 Changes to Regions shall only be agreed when two-thirds
of those present and voting at the Annual General Meeting vote
in favour of the changes proposed by Council. The altered
Regions shall apply for the elections of the subsequent Annual
General Meeting.
44 The election from each Region to the Council shall be
organised by the National Secretary through a postal ballot of
all members in a manner consistent with this and other rules
of the Association.
45 Each region shall elect one representative to serve on
the National Council for a period of three years.
46 The persons so elected shall take office and assume
their duties from immediately after the Annual General Meeting
at which their election is announced for a period of three
years to the end of the relevant Annual General Meeting.
47 The persons so elected shall not be eligible for
re-selection as such members for at least one year after their
respective terms of office as such expire but any of them may
be elected to whichever of the Offices referred to in Rule 27
is vacant at the expiry of their term of office.
48 Any vacancy arising during the year among the elected
Members of Council may be filled by Council and the person so
appointed shall hold office until the end of the next Annual
General Meeting at which the person they replaced would have
completed his/her term of Office.
Functions of Council
49 Subject to Rule 50 of these Rules, Council shall
determine the policy of the Association in accordance with
these Rules and may exercise all powers of the Association as
are not by these Rules to be exercised by the Association in
General Meeting.
50 The powers conferred on Council by this and the
following Rule shall be subject to any regulations (not being
regulations inconsistent with the objects of this Association)
prescribed by the Association in General Meeting but no such
regulation shall invalidate any prior act of Council which
would have been valid if that regulation had not been
made.
51 Subject always as provided in Rule 49 Council shall
discharge its said functions by such means as Council
determines with full power to delegate the same to any
Committee appointed in accordance with these Rules and to
regulate its own proceedings in every particular consistent
with these Rules. All acts and proceedings of such Committees
shall be reported to Council at the earliest reasonable
time

Council Meetings
52 Council shall meet not less than two times in each year
(one of such meetings being held on the occasion of the Annual
General Meeting and the other in the Autumn of every year)
53 A special meeting of Council shall be called by the
Honorary Secretary within fifteen working days of receiving a
written request to do so signed by at least five members of
Council. The signatories shall indicate the purpose for which
they wish to call such meetings.
54 The Honorary Secretary shall give at least two weeks'
notice of the date and time of each Council Meeting to each
member of Council and shall send an Agenda of each meeting to
each member of Council at least ten days before the
meeting.
55 At any meeting of Council each member of Council
present, including co-opted members shall have one vote and in
the case of equal voting the Chairperson of the meeting shall
have a casting vote, whether or not he or she has previously
voted on the same question. Council may act notwithstanding
any vacancy in their body.
56 One third of the members of Council entitled to vote
shall constitute a quorum for the transaction of
business. go

COMMITTEES
GENERALLY
Other Committees
57 Council may appoint Conference Planning and other
Committees for special purposes consisting of members (who
need not also be members of Council) with such powers
(including power to co-opt members of the Association and
others) as Council may prescribe. Such Committees shall not
depart from Council policy and shall report all acts and
proceedings to Council at the earliest reasonable time.
58 The terms of reference and functions of all Committees
and regulations for defraying their expenses shall be
prescribed in writing from time to time by Council.
59 Every Committee shall, unless Council otherwise directs,
have full power to regulate its own procedure in every
particular consistent with these Rules.
60 All Committees shall keep within their terms of
reference and shall not publish anything as committees without
the prior approval of Council.
Expenses
61 The Honorary Treasurer may reimburse anyone summoned to
a meeting of Council or any committee his or her reasonable
expenses for doing so unless he or she is entitled to receive
payment from some other source. Council may approve the
reimbursement of reasonable expenses to anyone attending a
meeting of any other body as a representative of the
Association. go

GENERAL
SECRETARY AND OTHER STAFF
62 Council may at its discretion appoint a General
Secretary (and may appoint other staff upon such terms as to
remuneration. period of office or otherwise as may be thought
fit) and may delegate to such General Secretary such duties
and powers relative to the execution of the business of the
Association as they may in their discretion determine.
63 Any General Secretary so appointed shall duly perform
the duties and may exercise the powers so delegated in
accordance with the terms of his or her appointment and in so
doing shall be responsible to the Council or as the Council
may direct and any other staff so appointed shall (in the
absence of a direction to the contrary) be responsible to the
General Secretary (if any). Every such appointment shall be in
writing and subject to final consideration and ratification by
the members in General Meeting.

LOCAL
ASSOCIATION
Formation of Local
Associations
64 Any member desiring that a Local Association should be
formed shall communicate with the National Secretary stating
the area which he or she wishes the Local Association to cover
and shall then if so required by Council communicate with
members in that area (including Affiliated Associations)
calling a meeting and inviting opinion.
65 Subject as aforesaid and if Council is satisfied that:
65.1 the defined area is suitable and is within a single
Region; and
65.2 the number of prospective members is sufficient; and
the draft Rules of the Local Association are in accordance
with these Rules and in the best interests of the Association;
and its formation would not disadvantageously affect the work
of an already affiliated group in that area.
66 Council may approve or direct the formation of a Local
Association and the same may be formed accordingly.
67 The Honorary Treasurer may pay out of the funds of the
Association all secretarial expenses incurred in calling any
meeting pursuant to Rule 65 above.
68 No item of expenditure which could result in the
cumulative deficit of a Local Association even temporarily
exceeding its annual income shall be incurred without prior
permission of Council.
Alteration of Area
69 Council may by resolution, and after consultation, alter
the geographical areas covered by a Local Association.
70 No Local Association shall take any action with regard
to any outside body or publish any matter, concerning the
policy of the National Association except after approval by
Council, but reports of activities of Local Associations may
be published at the discretion of the Chairpersons of Local
Associations.
Annual Reports
71 Each Local Association shall cause an annual report on
its activities during the preceding calendar year to be sent
to the Secretary of the Association by 1st February in each
year for presentation to Council
Suspension of Local
Association
72 Council may suspend or discontinue any Local Association
at any time.
Finance
73 The Honorary Treasurer of each Local Association shall
return to the Honorary Treasurer of the Association a full
audited annual statement of the Local Association’s accounts
by the 1st February in each year and each Local Association
shall account for any funds in its hands as and when required
by Council. (Rule 76.3 shall apply notwithstanding)
74 The Local Association Honorary Treasurer shall forward
to the National Honorary Treasurer an amount to be determined
by Council for each declared member of that
Association.
Amalgamation of Local
Association
75 Council may make or sanction arrangements of membership
and/or all or any or the assets or liabilities or a Local
Association to the Association itself and vice versa on such
terms as may be agreed but particulars of any such
arrangements shall be included in the next Annual Report of
Council and must be approved by a spokesman at Council of the
Local Association in question and (where appropriate) at a
meeting of the affected Local Association duly convened and
held.

ACCOUNTS AND AUDIT
76 Council shall cause proper books of account to be kept
with
respect to:
76.1 all sums of money received and expended by the
Association
and the matters in respect of which receipt and
expenditure
takes place; and
76.2 the assets and liabilities of the Association and
otherwise as specified in the said Trust Deed; in such form
and manner as shall give a true and fair view of the state of
the Association's affairs and explain its financial
transactions.
76.3 the funds of the Association shall constitute all
monies held in national accounts. Monies held by Local
Associations shall not be funds of the National
Association
Inspection of Accounts
77 The books of account shall be kept by the Treasurer of
the Association at such place or places as Council thinks fit
and shall be always open to inspection by members of Council,
the Auditor(s) and any committee appointed by Council for that
purpose. No other person including Members shall have any
right of inspecting any account book or document in relation
to the financial affairs of the Association except as
authorised by Council.
Annual Statement to
Council
78 At the Annual General Meeting of Council the Honorary
Treasurer shall present a Statement of Accounts signed by the
Honorary Treasurer and certified by the Auditor or Auditors
and consisting of:
79 An Income and Expenditure Account giving a true and fair
view of the Income and expenditure of the Association for the
financial year or period ending on the preceding 31st December
or such other date as Council may determine; and
80 A Balance Sheet giving a true and fair view of the state
of the financial affairs of the Association at the end of such
preceding financial year or period; and
81 A Report with respect to the Association's financial
affairs dealing so far as is material for the appreciation
thereof and so far as will not in the opinion of Council be
harmful to the interests of the Association with any change
therein during the preceding financial year or period. The
first such Income and Expenditure Account shall be made up for
the period commencing on the date that the said Trust Deed is
executed and delivered and ending on 31st December next
following.
82 Council shall at the Annual General Meeting next
following such Council Annual General Meeting present to the
Association the Statement of Accounts mentioned in the last
preceding Rule as amended and approved by Council.
83 A Summary of Accounts and Report shall be made available
to every member on request.

MEETINGS
84 A General Meeting of the Association shall be held in
each calendar year commencing with the year 1980 at which an
address or addresses dealing with matters within the objects
of the Association shall be delivered.
Standing Orders
85 Standing orders for the conduct of General meetings
shall be as follows:
85.1 The Chairperson of the Association shall be
chairperson at General Meetings or failing him (or her) Rule
38 of these Rules shall apply. In cases of dispute concerning
the interpretation of these Standing Orders the chairperson's
interpretation shall stand, except this shall not be used to
prevent a motion of no confidence in the chair being moved
(see Rule 85.3)
85.2 Normally the order of business shall be in accordance
with Rule 87 of these Rules. Alterations shall be confirmed by
a vote of those present and entitled to vote.
85.3 Should a person attending and entitled to vote propose
a motion of no confidence in the Chairperson of that meeting,
then if the motion is seconded by a person attending and
entitled to vote, the motion shall be put to the meeting
without further discussion. If two thirds of those present and
entitled to vote support the motion of no confidence, the
chairperson shall immediately stand down and be replaced in
accordance with Rule 38. If fewer than two thirds of those
present and entitled to vote support the motion then it shall
fail.
85.4 No Member shall have the right to speak more than once
on any item nor to speak for longer than two minutes, though
the chairperson may use his (or her) discretion to allow them
to do so.
85.5 If a member present and entitled to vote propose that
the motion be put the chairperson shall immediately ask if
that motion is seconded. If it is seconded a vote on whether
to put the motion shall follow without further discussion. If
a majority are in favour of the motion being put then the
motion will be voted upon without further discussion.
85.6 Should a member wish to make a point of order or a
point of information they may rise and indicate they have a
point of order or a point of information to make. The
chairperson will normally allow such points to be made but
will have discretion in deciding if it is a point of order or
a point of information.

Quorum
86 A General Meeting shall be quorate providing there are:
Agenda
87 The business to be conducted during the Annual General
Meeting of the Members of the Association shall be:
87.1 to receive and consider the Annual Report of
Council
87.2 to receive and consider the Statement of Accounts for
the preceding financial period
87.3 to appoint the Auditors for the following year;
87.4 to announce the result of the postal election for the
Office falling vacant in that year (see Rule 33);
87.5 to announce the results of the postal election of a
member to represent each Region;
87.6 to transact any other business which can be considered
by the meeting in accordance with the
rules
Notice of Annual General
Meeting
88 At least two months' notice of the Annual General
Meeting shall be sent to all Members by the National
Secretary.
Extraordinary General
Meeting
89 The National Secretary shall call an Extraordinary
General Meeting by giving all Members at least one month's
notice of such Meeting forthwith upon receiving:
90 Such a direction or request may be given or made at any
time.
Resolution at General
Meetings
91 No resolution shall be moved at any General Meeting of
the Association unless:
91.1 it is a resolution concerning the choice of a
chairperson for that meeting; or
91.2 in the opinion of the chairperson of the meeting it is
a procedural resolution; or
91.3 in the opinion of the chairperson of the meeting the
resolution arises out of the Report of Council, or the
Statement of Accounts presented to the Association at that
meeting; or
91.4 six weeks' notice of the proposer's intention to move
the resolution has been given to the National Secretary;
or
91.5 written notice of the resolution has been given to the
National Secretary and at least three-quarters of the Members
present at the meeting resolve that the business about to be
transacted is of urgent and imperative character; or
91.6 it is a resolution referred to in the Notice of
Meeting or an amendment thereto.
92 Particulars of any resolution to which the requisite
notice has been given in accordance with Rule 91.4 shall be
furnished to all Members at least two weeks before the General
Meeting.
93 Before any such resolution as is mentioned in Rule 91
above shall be considered at any General Meeting of the
Association it shall be proposed and seconded by persons
entitled to attend and vote at such meeting.
Voting at General
Meetings
94 Subject to the provisions of the last preceding Rule and
of this Rule and Rule 43 hereof all questions arising at any
General Meeting of the Association shall be decided by a
majority of Members present and voting by show of hands and in
the event of equality vote on such a vote the chairperson of
the meeting shall have a casting vote whether or not he or she
has previously voted on the same question.

PUBLICATIONS
95 Council may provide for the publication of an official
journal of the Association and other publications and such
publications shall be edited and published under the control
of the Honorary Editor (if any) or some other person or
Committee who shall be responsible for excluding all
defamatory or unsuitable matter therefrom. Council may also
join with other associations having objects similar to those
of the Association in providing for joint publications of
matter emanating from the Association or declaring its
official policy. Assistant Editors may be appointed annually
by Council as and when occasion shall require on such terms as
may be thought fit.
ANNUAL SUBSCRIPTION
96 Council shall fix each year the amount of the
subscription to be paid in that year by the Association
towards the cost of the Association's publications and/or
publications issued jointly with others.
WINDING
UP

97 The Association may be wound up only in accordance with
the provisions of the Trust Deed to which these Rules are
annexed.
INDEMNITY
98 Each Honorary Officer and all other members of Council
shall be accountable in respect of his or her acts only and
shall not be accountable for any acts done or authorised to
which he or she has not expressly assented; or
99 Any personal liability in respect of any loss or damage
incurred through any act, matter, or thing done authorised or
suffered by him or her in good faith for the benefit of the
Association although in excess of his or her legal powers
100 The Honorary Officers, other members of Council and the
General Secretary and employee of the Association (if any)
shall be indemnified out of funds of the Association from and
against all costs, charges, damages and expenses whatsoever
which they may sustain, incur or pay by reason of their office
or acting in the execution of the duties or powers imposed
upon them or given to them by these Rules or the said Trust
Deed.

NOTICES
101 Any notice may be served and any communication may by
sent by Council or by the National Secretary upon or to any
Member either personally or by sending it prepaid through the
post addressed to the Member at his or her or its address as
for the time being registered in the Register of Members kept
in accordance with these Rules or by dealing with it in
accordance with any arrangement made regarding membership in
accordance with these Rules.
102 Where any such notice or communication is sent by post,
service shall be deemed to have been effected on the day after
that on which it was put into the post and in proving such
service it shall be sufficient to prove that the notice or
communication was properly addressed and posted.
103 Neither the accidental omission to send any Member
entitled thereto any notice, voting paper or other document
nor non-receipt by him her or it of any notice, or other
document shall invalidate any meeting or the proceedings
thereof or any vote or other matter to which the notice,
voting paper or other document relates.

SUPPLEMENTARY
REGULATIONS
104 Council may from time to time make any alteration or
alterations of whatever nature they shall think fit to any of
the provisions of these Rules provided that any such
alteration shall not have effect except in so far as it is
confirmed by special resolution of Members of the Association
in General Meeting.
105 The Members of the Association may from time to time by
special resolution at a General Meeting of the Association
make any alteration or alterations of whatever nature they
think fit to any of the provisions of these Rules.
106 Any alteration or alterations of the Rules as provided
for in Rules 104 and 105 above shall not have effect if they
are inconsistent with the provisions of the said Trust
Deed.
107 A Special resolution shall be approved only when it has
been passed by a majority of not less than two thirds of such
Members of the Association as being entitled so to vote at a
General Meeting of the Association provided that due notice of
such resolution shall have been given in accordance with these
Rules. |
